Xochiii Terms of Service

1. Introduction

Welcome to Xochiii ("Platform"). By accessing or using our website and services, you agree to be bound by these Terms of Service ("Terms"). Xochiii provides a platform for Creators ("Service Providers") and Brands ("Clients") to connect, negotiate, and transact securely.

2. Accounts

2.1 Creator Accounts

  • You must be at least 18 years old.
  • You must complete Know Your Customer (KYC) verification (PAN/Aadhaar) to receive payouts.
  • You are responsible for the accuracy of your profile, rate card, and portfolio.

2.2 Brand Accounts (including "Shadow Accounts")

  • Shadow Accounts: Brands may access limited features via a unique, secure link ("Magic Link") without a full password-based account.
  • By converting a Shadow Account to a Full Account (Brand Studio), you agree to these Terms.
  • You represent that you have the authority to bind your organization to these Terms.

3. Services & Deals

3.1 The Deal Process

  • Formation: A "Deal" is formed when a Brand submits a request and the Creator accepts the terms via the Platform chat.
  • Scope: The scope of work, deliverables, and timeline are defined within the Deal Details and Chat.

3.2 Escrow Services

  • Xochiii acts as a neutral third-party escrow agent.
  • Funding: Brands must fund 100% of the agreed Deal Amount into Escrow before work begins.
  • Release: Funds are released to the Creator upon (a) Brand Approval or (b) Auto-Release expiration (see Section 6).

4. User Conduct

You agree NOT to:

  • Circumvent the Platform to pay or receive payment outside of Xochiii (Fee Avoidance).
  • Harass, abuse, or discriminate against other users.
  • Post false, misleading, or infringing content.
  • Upload malicious code or attempt to hack the Platform.

5. Fees & Payments

  • Platform Fee: Xochiii charges a service fee (deducted from the Creator's payout or added to the Brand's invoice, as specified at checkout).
  • Taxes: Users are responsible for their own tax obligations (GST/TDS). Xochiii facilitates the exchange of GST invoices but is not a tax advisor.

6. Delivery & Auto-Release

  • Submission: Creators must submit deliverables via the "Vault" (File Upload).
  • Review Period: Brands have 72 hours from the time of submission to review the work.
  • Auto-Release: If the Brand takes no action (Approve or Request Revision) within 72 hours, the funds will be automatically released to the Creator. This is final and non-reversible.
  • Notifications: The Platform will send warnings at 24 hours, 6 hours, and 1 hour remaining.

7. Intellectual Property

  • Pre-existing IP: Users retain ownership of their pre-existing IP.
  • Deliverables: Upon full payment, ownership of the Deliverables transfers to the Brand, unless a specific licensing agreement (e.g., "Usage Rights only") is agreed upon in the Chat.
  • Platform License: You grant Xochiii a license to use your profile and public portfolio for marketing purposes.

8. Limitation of Liability

Xochiii is an intermediary platform. We are not responsible for the quality, safety, or legality of the services provided by Creators. Our liability is limited to the amount of fees earned by Xochiii for the specific transaction in dispute.

9. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in India.
